1. Introduction & Acceptance

Welcome to ACEx. These Terms of Service ("Terms") govern your access to and use of the ACEx software application, website, and services (collectively, the "Platform") operated by ACEx Technologies ("Company," "we," "us," or "our").

By accessing or using the Platform, you ("User" or "you") agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our services.

Age Restrictions: You must be at least 13 years old to use the Platform. If you are between 13 and 18 years old, you may only use the Platform under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

2. Description of Service

ACEx provides an AI-powered study companion, reference prompter, and practice assistant designed to help students, developers, and lifelong learners prepare for examinations, practice coding exercises, and master complex academic concepts through interactive, step-by-step guidance.

Prohibited Live Exam Use: ACEx is designed strictly for self-study, research, and homework practice sessions. Users are explicitly prohibited from using ACEx during live examinations, assessments, tests, quizzes, or any proctored/evaluated academic environments.

Non-Affiliation: ACEx is an independent study assistant platform. We are not affiliated with, endorsed by, or associated with any examination board, testing agency, educational institution, or online assessment platform.

3. User Accounts & Registration

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and keep your account details updated.

You are solely responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized account access.

Each User is permitted to maintain only one active registration account. We reserve the right to suspend or permanently terminate accounts that violate these security standards or provide false information.

Hardware Device Binding: To prevent unauthorized credential sharing, resource abuse, and session hijacking, each subscription account is strictly bound to the first hardware device utilized for logging in. Account sharing across multiple machines is prohibited, and system detection of multi-device sessions may result in automatic hardware lockouts or account suspension.

4. Acceptable Use Policy

You agree to use the Platform only for lawful, ethical, and personal educational purposes. You are strictly prohibited from engaging in the following activities:

• Using the Platform during live exams, assessments, quizzes, or evaluation environments.
• Violating the academic integrity, honor codes, or student conduct policies of any school, university, employer, or evaluation body.
• Uploading, scanning, or transmitting content that contains active, ongoing, or live examination papers, questions, or proprietary assessment materials.
• Reverse engineering, decompiling, scraping, extracting code, or abusing the Platform's APIs or underlying technology.
• Using the Platform for any illegal activities under applicable laws, including cybersecurity offenses.

Any account found violating this Acceptable Use Policy will be permanently terminated immediately without refund.

5. Intellectual Property

All proprietary source code, software architecture, designs, logos, database systems, graphics, and text on the Platform are owned by the Company or its licensors and are protected under Indian and international intellectual property laws.

User Content: You retain all ownership rights to the questions, prompts, and text inputs you submit to the Platform. By submitting content, you grant the Company a limited, worldwide, royalty-free license to process, retrieve, and transmit your data solely for the purpose of generating AI explanations and delivering the service.

Trademarks: All third-party trademarks, service marks, exam names, or company listings referenced on our site are the property of their respective owners. We make no claim to these trademarks and mention them solely for descriptive reference.

6. Payments & Subscriptions

Certain services and high-volume tiers on the Platform require a paid subscription. All pricing plan rates are clearly communicated in Indian Rupees (INR) for Indian users, or US Dollars (USD) for international users.

Auto-Renewal: Paid subscriptions are billed on a recurring basis (e.g., 7-day or 30-day periods) and will automatically renew at the end of each billing cycle unless you cancel your subscription prior to the renewal date. You can cancel your subscription at any time via your account dashboard.

Taxes & Refunds: All displayed pricing rates are inclusive of applicable taxes (including Goods and Services Tax / GST) unless explicitly stated otherwise. Refund parameters are strictly governed by our Refund Policy.

7. Grievance Redressal

In compliance with the Information Technology Act, 2000 and rules made thereunder, any user grievances regarding content, data security, or service issues may be directed to our designated Grievance Officer:

We take user complaints very seriously. All complaints will be formally acknowledged within 24 hours of receipt and resolved or clarified within 15 days from the date of submission.

8. Takedown & Compliance

We operate in strict compliance with lawful government orders and third-party copyright claims. Under the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, we will remove access to any infringing, illegal, or prohibited content within 72 hours of receiving a valid takedown notice or court order.

9. Limitation of Liability

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE ACCURACY OF AI RESPONSES, AVAILABILITY, OR FIT FOR PURPOSE.

We make no guarantee of specific academic scores, test outcomes, or employment certifications. To the maximum extent permitted by law, the Company's liability is capped at the total amount paid by the user to the Company during the 12 months preceding the claim, or INR 1,000, whichever is lower.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, employees, and affiliates from and against any claims, damages, liabilities, costs, or legal fees arising out of your violation of these Terms, misuse of the Platform, or breach of academic integrity policies of any third-party institution.

11. Governing Law & Jurisdiction

These Terms shall be governed by, construed, and enforced in accordance with the laws of India, without regard to conflict of law principles.

Any legal actions, suits, or disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India.

12. Changes to Terms

We reserve the right to revise and update these Terms at any time. We will notify you of any material changes by sending an email to your registered address and posting an in-app banner alert.

Your continued use of the Platform after updates are posted indicates your acceptance of the revised Terms.
